Should I take a secured or unsecured business loan?

A secured loan gives the lender a charge over an asset, such as property, equipment or everything the company owns, and that security can support a larger loan over a longer term. An unsecured loan has no charge over a named asset, and a lender can still ask a director for a personal guarantee.

What security means

Security is a legal right over an asset that the lender can use if the loan is not repaid. For a company it takes three forms. A legal charge or mortgage over a property. A fixed charge over named assets such as machinery or vehicles. And a debenture, which combines fixed charges over named assets with a floating charge over everything else the company owns, including stock and cash.

Each charge a company gives is registered at Companies House, where every later lender, supplier and buyer can read it. If the company defaults, the lender can take possession of a charged asset and sell it, or appoint a receiver or an administrator, and recover its debt from the proceeds before unsecured creditors are paid.

A personal guarantee is a separate promise by a director to pay the company’s debt. It is a contract with you personally and is not registered against the company. A lender can take a guarantee alongside security, or take a guarantee alone for an unsecured loan.

Which suits what

Match the loan to what the money buys. Buying premises or a large piece of equipment points to secured borrowing: a commercial mortgage or asset finance, where the asset is the security and the term can follow its working life. Secured business loans against property the company or its directors already own can fund other purposes over a longer term.

A short need, or a company with no assets to offer, points to an unsecured loan. The decision rests on the bank statements, the accounts and the credit files, and the amount and term are smaller. Expect the lender to ask for a personal guarantee, and ask whether it can be capped.

Look at what you are giving up as well as the rate. A debenture over the whole company can stop you borrowing elsewhere without the first lender’s consent. A guarantee puts your own assets behind the company’s debt. A secured loan with no guarantee can leave you personally in a stronger position than an unsecured loan with an uncapped one.

Your home and a guarantee

A personal guarantee is a personal debt once the lender calls on it, and the lender can enforce it against your assets, including your home. Some guarantees are also secured by a charge over a director’s property. If your home is jointly owned, the other owner is affected, and a lender may ask them to take independent legal advice before the charge is signed.

Before you sign, ask whether the guarantee is capped, whether it covers only this loan or all your company’s debts to the lender, and what releases it. Read what a personal guarantee means for a director, and look at business protection to cover the debt if you die or fall seriously ill.

Questions to ask before you sign

For a secured loan, ask what exactly is charged, whether the charge secures this loan or every debt the company owes the lender, and whether you need the lender’s consent to sell the asset or to borrow from anyone else. Ask who pays the valuation and the lender’s legal fees, and what they will be in pounds.

For an unsecured loan, ask whether a personal guarantee is required, from whom, for how much, and whether it ends when the loan is repaid. Ask the total you will repay in pounds, and the charge for repaying early. Then compare the two offers on the same footing with the loan comparison calculator.

Questions people ask

Does an unsecured business loan need a personal guarantee?

The lender decides. For a smaller limited company, a lender of an unsecured loan can ask each director for a personal guarantee, because it has no charge over the company’s assets. Ask whether it will cap the guarantee at a set amount, whether it covers only this loan, and what releases it. Read what a personal guarantee means before you sign.

Can I get a secured business loan without property?

Yes. A lender can take a fixed charge over equipment or vehicles, or a debenture over all the company’s assets, including stock and the money customers owe it. Asset finance is secured on the asset it buys. Invoice finance is secured on invoices. Property gives the longest terms, and the other assets support lending matched to their value and life.

Which costs more, a secured or an unsecured business loan?

Each lender prices for its own risk, so compare actual offers. Security reduces what a lender could lose, which can show in the rate, but a secured loan carries valuation and legal costs and a longer term adds interest. Add up the interest, fees and costs of each offer in pounds over its term.

What happens to the security when the loan is repaid?

The lender releases it, and the company should record the release at Companies House on form MR04 so the charge shows as satisfied. If the charge is an all monies debenture, check that the company owes the lender nothing else. Removing a satisfied charge.

Can an unsecured lender take my house?

Not through the loan itself. If you signed a personal guarantee and the company cannot pay, the lender can claim against you personally, take you to court, and then use the court’s enforcement powers, which can include a charging order over your home. A guarantee secured by a charge over your property gives the lender a direct claim on it.

Secured business loans

A secured business loan is backed by a charge over property, equipment or the company’s assets as a whole, which the lender can sell if the loan is not repaid. Security lets a lender offer larger sums, longer terms and lower pricing than unsecured lending. In return the charged assets, and often a director’s personal guarantee, stand behind the debt. The full answer.

Unsecured business loans

An unsecured business loan is lent without a charge over your company’s property or equipment, so the lender relies on your trading record and on personal guarantees from the directors. Sums are smaller and pricing is higher than secured lending, and the guarantee puts your own assets behind the debt. The full answer.

What is a debenture?

A debenture is a legal document that gives a lender security over a company’s assets, through fixed charges over named assets and a floating charge over the rest. It must be registered at Companies House, and it decides where the lender stands if the company becomes insolvent. The full answer.

What does a personal guarantee mean for a director?

A personal guarantee is a separate contract in which you promise to pay a lender if your company does not. It makes you personally liable for the company's debt, and the lender can enforce it against your own assets. The full answer.

Finance is subject to status and to the lender’s terms. A personal guarantee makes you liable for the company’s debt if it does not repay, and it can be enforced against your own assets, including your home. Nothing here is a personal recommendation.
